Terms of service

These terms apply when you use fairentities.com or the other FAIR website that shares the same systems (Fair Entities at fairentities.com and Fair Permits at fairpermits.com), or any service we provide through them. The sites and services are operated by Long Marathon, Inc., a Texas corporation ("FAIR", "we", "us"). By using the sites or our services, you agree to these terms and to our privacy policy. If you do not agree, please do not use them.
Not a law firm
Fair Entities and FAIR are not law firms and do not give legal advice. Our services are administrative: we prepare, file and track paperwork based on the information you give us. Nothing on our sites or in our messages is legal, tax or accounting advice, and using our services does not create an attorney-client relationship. For advice about your situation, consult a licensed attorney or other professional.
Who can use our services
You must be at least 18 years old and able to enter a binding contract. If you use our services for a business, you confirm that you are authorized to act for that business, and these terms bind the business as well as you.
How our services work
- We tell you the scope of the work and the price in a quote before we start. Asking for a quote does not commit you to anything.
- Nothing is filed until you approve it.
- The issuing government agency makes the final decision on every application and sets its own requirements, fees and timelines. We do not control them and cannot guarantee that any license or permit will be approved, or approved by a certain date.
- We rely on the information you give us. Results depend on it being complete, accurate and on time.
Your account
- Keep your login details private and tell us right away at [email protected] if you think someone else has used your account. You are responsible for activity on your account.
- Company owners and managers decide who else can see a company's records. Only add people you trust with that information.
- Give us complete and accurate information and tell us promptly if something changes.
Acceptable use
You agree not to:
- use the sites or services for anything unlawful, fraudulent or misleading, or submit false information to us or to any agency;
- try to access another person's account, company records or our systems without permission;
- interfere with the sites, get around our security or spam protection, or overload our systems;
- use bots or scrapers to collect content or data from the sites, or send spam through our forms; or
- upload anything harmful, such as viruses, or content you have no right to share.
Your information and documents
You keep ownership of the information and documents you give us. You allow us to use, store and share them only as needed to provide our services, as described in our privacy policy. Please do not send us Social Security numbers or full bank account numbers through our sites.
Our content
The sites, including their text, design, logos and software, belong to us or our licensors. You may use them only to receive our services. The FAIR, Fair Entities and Fair Permits names and logos may not be used without our written permission.
Fees and payment
Our fees are set out in your quote. Government filing fees are separate and are passed through at cost unless your quote says otherwise. Fees for work already performed are not refundable. If we cannot complete the work for a reason within our control, we will refund the part of our fee for work not done. We do not take payments online at this time.
Emails from us
By sending a request or creating an account, you agree that we may contact you by email and, if you give us a number, by phone about your request, account or work. These are transactional messages, not marketing. We do not send marketing emails without your permission, and any we send will include a way to unsubscribe. You agree that notices and agreements we send electronically satisfy any requirement that they be in writing.
Deadlines and reminders
Deadline reminders are a convenience. They may be incomplete or late, and you remain responsible for meeting your own legal, tax and regulatory deadlines.
Disclaimer
The sites and services are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the sites will always be available or error-free, or that any application will be approved. General information on our sites may not fit your situation and may become out of date.
Limitation of liability
To the fullest extent the law allows: (a) we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities; (b) we are not liable for decisions, delays, errors or fee changes by government agencies, or for losses caused by inaccurate or incomplete information you gave us; and (c) our total liability for any claim relating to the sites or our services is limited to the fees you paid us for the service involved in the 12 months before the claim arose. Some laws do not allow these limits, so they apply to you only as far as the law permits.
Indemnity
You agree to cover our reasonable losses and costs, including reasonable attorney's fees, from claims by others that arise from information you gave us, your misuse of the sites or your breach of these terms.
Ending the service
You may stop using our services and close your account at any time by emailing [email protected]. We may suspend or close an account, or decline or stop work, if you break these terms, if we suspect fraud or misuse, or if we stop offering a service. If we close your account for a reason other than your breach, we will give you reasonable notice where we can and refund fees for work not yet done. Sections that by their nature should survive, such as the disclaimer, limitation of liability, indemnity and governing law, continue after your account ends.
Governing law and disputes
These terms are governed by the laws of the State of Texas, without regard to its conflict of laws rules. Any dispute relating to these terms, the sites or our services will be brought only in the state or federal courts located in Fort Bend County, Texas, and you and we agree to those courts' jurisdiction, unless the law requires otherwise. Before filing a claim, please email us so we can try to resolve it informally.
Changes to these terms
We may update these terms. We will post the new version on this page with a new effective date and, for significant changes, tell account holders by email before they take effect. If you keep using the sites or services after a change takes effect, you accept the updated terms.
Other terms
These terms, together with our privacy policy and any quote you accept, are the whole agreement between you and us about the sites and services. If a written quote conflicts with these terms, the quote controls for that work. If any part of these terms cannot be enforced, the rest stays in effect. If we do not enforce a term right away, we have not given up the right to enforce it later. We may transfer these terms to a company that takes over the FAIR services, including FAIR, Inc. You may not transfer them without our written consent.
